These Terms of Use (“Terms”) govern your access to and use of the websites, portals, and online services operated by Synergix Holdings Inc., a Delaware corporation, doing business as Synergix Automation (“Synergix,” “Synergix Automation,” “we,” “us,” or “our”), including any site that links to these Terms (collectively, the “Site”).

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Site.

Synergix provides engineering, integration, and related professional services in connection with advanced manufacturing and automation solutions for medical device and other high-precision or regulated industries (the “Services”). The Site is directed primarily to business and professional users evaluating or engaging with our Services.

By using the Site, you represent and warrant that:

• You are at least 18 years of age; and
• You are accessing the Site for business or professional purposes or on behalf of an organization, and you have authority to bind that organization to these Terms.

If you do not meet these requirements, you must not use the Site.

We may update these Terms from time to time at our discretion. When we do, we will revise the “Last Updated” date above. Changes are effective when posted unless a later effective date is specified. Your continued use of the Site following any changes constitutes your acceptance of the updated Terms.

We may modify, suspend, or discontinue any part of the Site at any time without liability.

The Site and all content made available through it (including any technical descriptions, diagrams, case studies, white papers, blog posts, calculators, and other materials) are provided for general informational purposes only.

Unless and until expressly agreed in a separate written contract signed by Synergix and you (or your organization):

• Nothing on the Site constitutes engineering advice, design specifications, regulatory advice, legal advice, or a commitment to achieve any particular technical, regulatory, timing, or financial outcome.
• Any descriptions of potential capabilities, configurations, timelines, validation frameworks, or performance are illustrative, depend on project-specific factors, and are subject to detailed scoping and contract terms.
• In the event of any inconsistency between the Site and a duly executed written agreement, the written agreement will govern.

All content on the Site, including text, graphics, logos, icons, images, videos, software, layouts, and “look and feel,” as well as all trademarks, service marks, and trade names (collectively, “Content”), is owned by Synergix or its licensors and is protected by applicable intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site and Content solely for:

• Evaluating our Services; and
• Communicating with us about potential or existing engagements.

You shall not:

• Copy, modify, adapt, translate, or create derivative works from the Content;
• Remove or alter any proprietary notices;
• Use web scraping, data mining, robots, or similar tools (except standard search engine indexing);
• Use the Site or Content to develop or support competing products or services;
• Use the Site for unlawful, infringing, or harmful purposes; or
• Reverse engineer, decompile, or disassemble any part of the Site except to the limited extent permitted by non-waivable law.

All rights not expressly granted are reserved.

If you submit or upload any information to us through the Site, including forms, RFQs/RFPs, specifications, files, comments, or feedback (“Submissions”):

• You are responsible for ensuring your Submissions are accurate, lawful, and that you have all necessary rights.
• Do not submit confidential, trade secret, export-controlled, health data, or other sensitive information via the general Site unless we have expressly agreed in writing (e.g., under an NDA) to receive it through specified channels.
• You grant Synergix a worldwide, non-exclusive, royalty-free license to use, reproduce, distribute, and process your Submissions solely:
  ▪ to respond to your inquiries, evaluate opportunities, provide and improve the Services and Site, and
  ▪ in aggregated or de-identified form for analytics and business purposes.

We are not obligated to use or return any Submissions.

You agree not to:

• Use the Site in violation of any applicable law or regulation;
• Attempt to gain unauthorized access to the Site, our systems, or accounts;
• Interfere with or disrupt the operation or security of the Site;
• Introduce viruses, malware, or other harmful code;
• Misrepresent your identity or affiliation, or impersonate any person or entity;
• Use the Site to transmit unlawful, infringing, or harmful content; or
• Reverse engineer or attempt to extract source code from the Site, except as allowed by mandatory law.

We may suspend or terminate access to the Site for any violation of these Terms.

The Site may contain links or integrations to third-party websites or services. We do not control and are not responsible for third-party content or practices. Your use of third-party properties is at your own risk and is governed by their terms and policies.

To the fullest extent permitted by law, the Site and all Content are provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or availability.

We do not warrant that the Site will be uninterrupted, secure, or error-free, or that defects will be corrected.

To the maximum extent permitted by law:

• Synergix and its affiliates, and their respective directors, officers, employees, and agents, will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunities, arising from or related to your use of or inability to use the Site, even if advised of the possibility of such damages.
• Our total aggregate liability for any and all claims arising out of or related to the Site or these Terms will not exceed US $100.

You agree to indemnify, defend, and hold harmless Synergix and its affiliates, and their respective officers, directors, employees, and agents, from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

• You are at least 18 years of age; and
• You are accessing the Site for business or professional purposes or on behalf of an organization, and you have authority to bind that organization to these Terms.

You agree to comply with all applicable export control, sanctions, and similar laws. You may not use the Site or Services in or for the benefit of any country, organization, or person subject to such restrictions.

These Terms and any dispute arising out of or relating to these Terms or the Site are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules.

The exclusive jurisdiction and venue for all disputes arising out of or relating to these Terms or the Site shall be the state courts located in Delaware and the United States District Court for the District of Delaware. You consent to the personal jurisdiction of these courts.

We may suspend or terminate your access to the Site, in whole or in part, at any time and for any reason. Sections that by their nature should survive (including ownership, disclaimers, limitations of liability, indemnity, and governing law) will remain in effect.

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

Our failure to enforce any right is not a waiver of such right.

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, or other corporate transaction.

These Terms, together with our Privacy Policy and Cookie Policy, form the entire agreement regarding your use of the Site.
